1. Acceptance of Terms

By creating a DukaFlyer account, building a shop, or using any part of the DukaFlyer platform (including Duka AI), you agree to these Terms of Service ("Terms"). If you do not agree, do not use DukaFlyer.

These Terms apply to Merchants (users who create and operate a shop on DukaFlyer) and Buyers (users who browse shops and place orders).

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create a Merchant account on DukaFlyer. By registering, you confirm that you meet this requirement and have the legal capacity to enter into these Terms.

3. What DukaFlyer Is (and Isn't)

DukaFlyer is a platform that allows Merchants to build an online shop and list products. Buyers can browse shops and place orders, which are then completed directly between the Buyer and Merchant via WhatsApp or another contact method the Merchant provides.

DukaFlyer is not a party to any transaction between a Buyer and a Merchant. We do not process payments, hold funds in escrow, guarantee delivery, verify product quality, or resolve disputes between Buyers and Merchants. Merchants are solely responsible for fulfilling orders, honoring prices, handling refunds, and complying with applicable consumer protection laws.

4. Merchant Accounts, Subscriptions & Fees

4.1 Registration

Merchants must provide accurate information when creating a shop, including a valid WhatsApp number for order communication. You are responsible for maintaining the security of your account credentials.

4.2 Fees

DukaFlyer shops require a one-time setup fee and a recurring monthly hosting fee, as displayed at the time of signup. New Merchants receive a 7-day free trial before billing begins.

4.3 Billing & Cancellation

Subscriptions are billed monthly and managed manually through the DukaFlyer admin panel. You may cancel your subscription at any time; cancellation stops future billing but does not entitle you to a refund of fees already paid, except where required by law or at DukaFlyer's discretion.

4.4 Non-Payment

DukaFlyer may suspend or deactivate a shop if fees are not paid when due.

5. Duka AI

Duka AI is an AI-powered assistant integrated into DukaFlyer that can help Merchants set up a shop and provides general business suggestions (e.g. pricing, marketing, sourcing ideas).

Duka AI's responses are general guidance only. They are not professional financial, legal, tax, or accounting advice, and should not be relied upon as such. DukaFlyer is not liable for business decisions made based on Duka AI's output. Always use your own judgment and consult a qualified professional for advice specific to your situation.

Duka AI may make mistakes. Information you provide to Duka AI while setting up a shop is reviewed by you before your shop is created — you are responsible for verifying its accuracy.

6. Prohibited Conduct

You agree not to use DukaFlyer to:

List or sell illegal goods, counterfeit products, or items that infringe on someone else's intellectual property;
Engage in fraud, misrepresentation, or deceptive pricing;
Post content that is defamatory, hateful, sexually explicit, or that exploits or endangers minors;
Attempt to circumvent, disrupt, or reverse-engineer the platform, including Duka AI;
Violate any applicable law of the Republic of Uganda or another jurisdiction relevant to your activity.

DukaFlyer may suspend or terminate accounts that violate this section, without refund.

7. Intellectual Property

Merchants retain ownership of the content they upload (product photos, descriptions, shop branding). By uploading content, you grant DukaFlyer a limited license to display it on the platform for the purpose of operating your shop.

The DukaFlyer name, logo, software, and platform design are the property of DukaFlyer and may not be copied, reproduced, or used without permission.

8. Data Protection & Privacy

DukaFlyer collects and processes personal data (such as names, phone numbers, and shop/order information) in order to operate the platform. This data is processed in accordance with the Data Protection and Privacy Act, 2019 of Uganda.

Some data may be stored or processed using third-party infrastructure providers (such as Google Firebase) that may process data outside Uganda. By using DukaFlyer, you consent to this processing as described in our Privacy Policy.

You have the right to request access to, correction of, or deletion of your personal data, subject to our legitimate business and legal record-keeping needs. Contact us using the details in Section 13 to make such a request.

9. Limitation of Liability

DukaFlyer is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, DukaFlyer, its founder, and its agents are not liable for indirect, incidental, or consequential damages arising from your use of the platform, including lost profits, lost sales, or disputes between Buyers and Merchants.

DukaFlyer's total liability to any user for any claim arising from use of the platform is limited to the amount that user paid to DukaFlyer in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold DukaFlyer harmless from any claims, damages, or expenses (including legal fees) arising from your use of the platform, your content, or your violation of these Terms or applicable law.

11. Termination

You may stop using DukaFlyer and close your account at any time. DukaFlyer may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees.

12. Dispute Resolution & Governing Law

These Terms are governed by the laws of the Republic of Uganda. In the event of a dispute, both parties agree to first attempt to resolve the matter informally by contacting DukaFlyer directly. If unresolved after 30 days, either party may pursue the matter through mediation, and thereafter through the competent courts of Uganda.

14. Changes to These Terms

DukaFlyer may update these Terms from time to time. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms. Material changes will be highlighted on this page.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.
